1. Website Operator

The Site is operated by BLEUCCO, LLC. Throughout these Terms, “BLEUCCO,” “we,” “us” and “our” refer to BLEUCCO, LLC.

2. Acceptance of Terms

By accessing or using any part of the Site, you confirm that you have read, understood and agreed to these Terms and to any policies incorporated by reference, including our Privacy Policy and Returns and Refunds Policy.

If you do not agree, you must not access the Site, submit information, create an account or purchase products.

3. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction. Individuals under the age of majority may use the Site only with the involvement and authorization of a parent or legal guardian.

Creator, talent, representation or campaign submissions by minors must be made with the participation and authorization of a parent or legal guardian.

4. Online Store

Our online store is hosted through Shopify, which provides the e-commerce platform used to display and sell BLEUCCO merchandise.

You may not use the Site or our products for any illegal or unauthorized purpose, violate applicable law, interfere with Site operation or transmit malicious code.

5. Products, Pricing and Availability

Product descriptions, images, colors, measurements, pricing, promotions and availability may change without notice. We make reasonable efforts to present merchandise accurately, but screen settings and production differences may affect color and appearance.

We may limit quantities, refuse or cancel orders, discontinue products or restrict sales by person, account, address, payment method, geographic location or other reasonable criteria.

If an order is canceled after payment, any applicable refund will be issued to the original payment method.

6. Orders and Account Information

You agree to provide current, complete and accurate billing, shipping, contact and account information. You authorize us and our payment providers to process charges associated with your order.

We may contact you to verify an order, request additional information, prevent fraud, correct an error or notify you of an order change or cancellation.

7. Shipping, Returns and Refunds

Shipping dates and delivery estimates are not guaranteed unless expressly stated. Carrier delays, address errors, customs processing, weather and events outside our reasonable control may affect delivery.

Returns, exchanges and refunds are governed by the Returns and Refunds Policy published on bleucco.com.

8. Agency Information and Inquiries

Information about BLEUCCO’s creators, talent, services, campaigns, collaborations and business capabilities is provided for general informational and promotional purposes.

Submitting an inquiry, portfolio, creator application, business form or campaign request does not create an agency relationship, representation agreement, employment relationship, partnership, endorsement, exclusivity obligation or guarantee of selection.

Any representation, campaign, employment, licensing or commercial relationship must be established through a separate written agreement signed or otherwise formally accepted by the appropriate parties.

9. Ownership of Site Content

The Site and its selection, arrangement, design, branding and content, including text, logos, trademarks, graphics, photographs, portraits, videos, reels, motion graphics, animations, music, sound recordings, voice recordings, interviews, campaign footage, creator images, artwork, layouts, code and other materials, are owned by BLEUCCO, LLC, licensed to BLEUCCO, commissioned for BLEUCCO or used with valid authorization.

All such material is protected by applicable copyright, trademark, publicity, privacy and other intellectual-property laws.

10. Prohibited Use of Visual and Audio Material

Without prior written authorization from BLEUCCO, LLC and, where applicable, the relevant creator, performer, photographer, producer, licensor or rights holder, you may not:

• Copy, download, screen-record, rip, extract or reproduce content.
• Publish, repost, upload, distribute or transmit content.
• Use content in advertising, marketing, media, training or portfolios.
• Edit, crop, remix, sample, dub, translate or create derivative works.
• Use any person’s name, image, likeness, voice or performance.
• Remove watermarks, credits, copyright notices or metadata.
• Use content to train, test or develop artificial-intelligence systems.
• Sell, sublicense, monetize or commercially exploit content.
• Create the false impression that BLEUCCO or a represented creator endorses, sponsors or is affiliated with a person, product or service.

Unauthorized use may result in account or Site-access termination, takedown requests and pursuit of available legal remedies.

11. Limited Permission to Use the Site

Subject to these Terms, BLEUCCO grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable permission to access the Site for personal viewing, legitimate shopping and authorized business inquiries.

This permission does not include any right to reproduce Site content, create a database, scrape information, use automated extraction tools or make commercial use of the Site or its content.

12. User Submissions

When you submit comments, messages, ideas, reviews, images, video, audio, portfolios or other materials, you represent that you have the legal right to submit them and that they do not violate another person’s intellectual-property, privacy, publicity, contractual or other rights.

Submission through a general website form does not automatically transfer ownership to BLEUCCO and does not automatically grant unlimited commercial usage rights. Any broader license, ownership transfer, representation right, publicity release or campaign usage authorization must be established through a separate agreement, release or clearly stated submission term.

You grant BLEUCCO a limited license to receive, store, review, process and internally share submitted materials as reasonably necessary to respond to your request, evaluate an opportunity, provide customer service or administer the Site.

13. Trademarks

BLEUCCO, the BLEUCCO name, logos, slogans, trade dress and related brand identifiers are trademarks or proprietary brand assets of BLEUCCO, LLC. No license or right to use them is granted without prior written permission.

14. Third-Party Links and Services

The Site may link to external platforms, creator rosters, social media, payment providers, shipping services or other third-party websites. BLEUCCO does not control and is not responsible for their availability, content, security, terms, privacy practices or transactions.

Access to a third-party website is at your own discretion and subject to that third party’s terms and policies.

15. Prohibited Uses

You may not use the Site or its content to:

• Engage in unlawful, fraudulent, deceptive or abusive conduct.
• Infringe intellectual-property, privacy or publicity rights.
• Harass, threaten, defame, impersonate or discriminate against others.
• Submit false, misleading or unauthorized information.
• Transmit malware, viruses or destructive code.
• Scrape, crawl, harvest or collect data without authorization.
• Circumvent security, access controls or technical restrictions.
• Interfere with Site performance or another person’s use.
• Resell, exploit or commercially reproduce any part of the Site.

16. Accuracy of Information

We may correct errors, inaccuracies or omissions and update product descriptions, pricing, promotions, availability, shipping charges and other Site information at any time, including after an order is submitted, subject to applicable law.

Agency profiles, audience figures, campaign information and other portfolio details may change over time and should not be treated as a guarantee of future performance or availability.

17. Disclaimer of Warranties

To the maximum extent permitted by law, the Site and its content are provided “as is” and “as available.” We do not guarantee that access will be uninterrupted, secure or error-free, or that all information will always be complete, current or free of technical issues.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, BLEUCCO, LLC and its members, officers, employees, agents, contractors, affiliates, service providers and licensors will not be liable for indirect, incidental, special, punitive or consequential damages arising from use of the Site, inability to use the Site, third-party links, unauthorized access, content reliance or merchandise transactions.

Where liability cannot be excluded, it will be limited only to the extent permitted by law. These limitations do not apply where prohibited by applicable consumer-protection law.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless BLEUCCO, LLC and its members, officers, employees, agents, affiliates and service providers from third-party claims, damages, losses and reasonable expenses arising from your violation of these Terms, misuse of the Site, unlawful conduct or infringement of another person’s rights.

20. Suspension and Termination

We may suspend or terminate access to the Site, refuse service, cancel an account or remove submitted content when we reasonably believe these Terms have been violated, security is threatened, fraud is suspected or continued access may expose BLEUCCO or others to risk.

Provisions concerning ownership, intellectual property, disclaimers, liability, indemnification and dispute terms survive termination.

21. Privacy

Collection and use of personal information are governed by our Privacy Policy. By using the Site, you acknowledge that information may be processed as described in that policy.

22. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable federal laws of the United States, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional requirements, legal proceedings relating to these Terms or the Site shall be brought in a court of competent jurisdiction located in Puerto Rico.

23. Severability and Waiver

If any provision is found unlawful, invalid or unenforceable, that provision will be enforced to the greatest extent permitted and the remaining provisions will continue in effect.

Failure to enforce any provision does not waive the right to enforce it later.

24. Entire Agreement

These Terms, together with policies and notices expressly incorporated by reference, constitute the agreement governing use of the Site. Separate written contracts govern agency representation, campaigns, employment, licensing, releases and other professional relationships.

25. Changes to These Terms

We may revise these Terms to reflect changes in our Site, services, business practices or legal requirements. Revised Terms will be published on bleucco.com with an updated effective date.

Continued use of the Site after revised Terms become effective constitutes acceptance to the extent permitted by law.
